1. General

1.1 In these terms and conditions, "Julius Chen" or “we” or “us” or “our” means Julius Chen & Company (H.K.) Ltd. and the "customer" or “you” means any person, company or body which places an order with us. We provide a platform in the forms of website and mobile app for customers to shop online (“services”).

1.2 By using our platform, you agree to be bound by the following terms and conditions. Please read them carefully.

1.3 We reserve the right to make changes to these terms and conditions at any time, for any reason whatsoever and without any notice or liability to any customers. The amended terms and conditions are effective from the date they are published on our platform. Your continued access and use of our platform and our services shall represent your unconditional acceptance of the latest version of the terms and conditions. In the event of any dispute, our decision shall be final and conclusive.

1.4 In these Terms and Conditions, the following definitions shall apply:

(a) “Services” has the meaning given in clause 1.1.

(b) "Platform" means collectively Julius Chen's website and apps, and any other websites or applications which we may own or operate from time to time, each of which shall be described as a "Platform"

(c) “Content” means all text, graphics, logos, icons, photographs, images, moving visual representational images or a combination of sounds and such images, audio, computer programs, and other material featured, displayed or used in or in relation to our platform.

(d) “Intellectual property rights” means any and all patents, trademarks, rights in domain names, rights in designs, copyright and database rights (whether registered or not and any applications to register or rights to apply for registration of any of the foregoing), rights in confidential information and all other intellectual property rights of a similar or corresponding character which may subsist now or in the future in any part of the world.

1.5 All photos, images and descriptions of the products displayed on our platform are for illustration purposes in order to help you recognize the products only. The actual size, dimension and color of the products may differ.

2. Registration

2.1 To place an order, you must first register and create an account on our website. During the registration:

• You must provide us with accurate, complete and up to date registration information;

• You must safeguard your username and password;

• You authorize us to assume that any person using the platform with your username and password is either you or is authorized to act for you;

• You shall not misuse the platform by creating multiple user accounts.

2.2 You must keep your information up to date by informing us of any changes via the relevant sections provide on the platform so that we can communicate with you effectively and to deliver the products to you.

2.3 We have the absolute discretion to suspend or terminate your registration for any reason whatsoever.

3. Order

3.1 If your order has been submitted, no amendment or cancellation will be allowed, even if our acceptance or rejection of your order is still pending.

3.2 After the order submission, you will receive an order acknowledgement by email. The order acknowledgement only confirms the receipt of the order. It does not signify our acceptance of your order.

3.3 An order is only considered accepted by us after you receive an order confirmation by email.

3.4 We reserve the right to reject or cancel an order for any reasons at our sole discretion, including without limitation:

- insufficient stock;

- no delivery can be arranged for your area; or

- the amount of payment required is incorrect due to a human or technical error.

3.5 If we cancel your order we will notify you by email and will credit to your account any sum deducted by us from your credit card or through other means of payment method as soon as possible but in any event within thirty (30) days of your order. You accept that we will not be obliged to offer any compensation for disappointment suffered.

4. Price and Payment

4.1 Prices shown on the platform are in Hong Kong Dollars. All Price does not include delivery charges.

4.2 We will make every effort to display accurate and up to date prices on our platform. However, because prices may be updated from time to time, we cannot state the definite price until we send you an order confirmation email.

4.3 Payment for products ordered through our platform shall be made by credit cards, by Payme for business or by standard terms.

4.4 We may change at any time the method by which payments for orders on our platform may be effected and such changes may be notified to you by e-mail or by notice shown on the platform.

4.5 We may from time to time and at our absolute discretion set credit limits for any customer and/or limit sales to any customer including denying sales to re-sellers.

4.6 We accept credit card payments made by Visa, MasterCard and PayMe. When you place an order you authorize us to debit the credit card or PayMe account you specify on your order for the amount of the order at the time we send our acceptance of your order and you represent to us that you shall be authorized to make such payment. Title in the merchandise does not pass to you until payment has been received.

4.7 We use third party payment services to process online transactions. When you place an order, you agree and accept that your credit card information or PayMe account information will be collected, processed, and kept by us and a payment service provider subject to its terms and conditions. You agree and accept that you are solely and exclusively responsible for any losses incurred or sustained by you in making credit card transactions, and in no event shall any such losses in whole or in part be borne by us.

4.8 For all credit card transactions, you shall bear the price differences due to exchange rate and/or any other fees or charges incurred in connection with the relevant transaction.

4.9 You agree and accept that you are solely and exclusively responsible for any losses incurred or sustained by you in making credit card transactions or PayMe transactions, and in no event shall any such losses in whole or in part be borne by us.

5. Delivery

5.1 Free delivery will be provided for single order of HK$500 or more, based on final amount after discounts. For order below $500, a delivery charge of HK$50 applies.

5.2 We will deliver the products as listed on your "Shopping Cart" on the platform following the completion of an order. You are required to include all purchase items (including free gifts and redemption items, if any) in the shopping cart when placing the order.

5.3 Order will be delivered within 3 working days (Monday to Friday, except public holidays) after the order confirmation. The delivery hours will be between 9:00am to 6:00pm for Monday to Friday. Delivery service will not be provided on Saturday, Sunday and public holiday.

5.4 We only make deliveries within the Hong Kong Special Administrative Region. Overseas delivery service is not available.

5.5 Special delivery arrangements and extra delivery charges may be implied to some remote areas, outer islands and special locations, including but not limited to:

- Sai Kung

- Tung Chung

- Ma Wan

- Discovery Bay

- Cheung Chau

- Container terminals

- Warehouses that require waiting/ queuing

5.5For orders which are delivered to locations given in clause 5.5, our customer service team will contact you for the detailed delivery arrangement and charges after receiving your order.

5.6 Where there are additional charges for delivery, such charges will be set out separately for your acknowledgment and confirmation prior to payment process.

5.7 Delivery will be delayed if a typhoon signal No.8 is raised or a black rainstorm warning is in force or due to bad weather conditions.

5.8 We will not be responsible for delays, changes to delivery time or unsuccessful delivery that are due to circumstances outside our control.

5.9 Unless otherwise specified, please refer to our site for details of the delivery charges and free delivery threshold. We reserve the right to amend the free delivery threshold at any time and from time to time.

6. Refund or Exchange

6.1 No refund or exchange is allowed unless the product has quality issue.

6.2 Customer should report the quality issue within three (3) days of receipt. Otherwise, we have the right to refuse the refund or exchange request.

6.3 If refund or exchange is accepted by us, the merchandise should be returned in unused condition and/ or in originally sold condition together with all parts and accessories which are provided with the merchandise including manuals, certificates, labels, tags, consumables, bags, and boxes; the packaging of the merchandise must be in the condition in which it was delivered to you.

6.4 In case of any dispute, Julius Chen reserves the right of final decision.

7. Content

7.1 The intellectual property rights in all content are owned, controlled or licensed by or to us.

7.2 Subject to these terms and conditions, you may use the content for your own personal purposes.

7.3 Except for the rights granted to you under clause 7.2, nothing in these terms and conditions shall confer on you any right or interest in the content and all other rights are reserved to us.

7.4 Unless you have our express written consent or you are expressly authorized by law to do so, you shall not:

- use the content for any commercial or other non-personal purpose;

- make any copies of the content or transfer the content to any other device or any other person; or

- otherwise reproduce, distribute, communicate to the public, modify, reformat, prepare derivative works of or display the content.

7.5 You acknowledge and agree that we may cease to supply any of the content to you at our sole discretion if you are in breach of any of the terms of this clause.

7.6 We shall use all reasonable commercial endeavors to ensure the accuracy of the content but gives no warranties and makes no representations, express or implied, statutory or otherwise regarding the accuracy, quality or completeness of the content or its fitness for any purpose and we exclude any liability relating to it. We do not accept responsibility for loss suffered as a result of reliance by you upon the accuracy of information contained on our platform.
